Terms of Use

Structural Health Monitoring Solutions ("SHMS") provides access to professional services, monitoring dashboards, and related resources under these Terms of Use. Please review them carefully before engaging our team or using our platforms.

Acceptance of terms

By accessing our websites, dashboards, or professional services you agree to these Terms of Use and our Privacy Policy.
If you are entering these terms on behalf of an organization, you affirm you have authority to bind that organization.

Service scope

Statements of Work ("SOWs") govern deliverables, schedules, and pricing for monitoring deployments and analytics services.
Changes to scope require a written change order authorized by both parties.

Client responsibilities

Provide timely access to sites, structural drawings, and project stakeholders.
Maintain safe working conditions and obtain necessary permits for field activities.
Protect access credentials and promptly report suspected unauthorized use of dashboards or documents.

Intellectual property

We retain ownership of methodologies, software, dashboards, and templates developed before or independently of the engagement.
Clients receive a non-exclusive license to use deliverables for internal operations, regulatory submissions, and stakeholder communication.
Third-party software or data is subject to the applicable vendor's license terms.

Confidentiality

Both parties will protect confidential information using safeguards at least as strong as those used for their own sensitive data.
Confidentiality obligations survive termination of the engagement for five (5) years, or longer where required by regulation.

Warranties & disclaimers

Monitoring data is provided "as is" and reflects conditions measured at sensor locations. Decisions remain the responsibility of the asset owner.
We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards.
Except as stated, all warranties are disclaimed to the maximum extent permitted by law.

Limitation of liability

Neither party is liable for consequential, incidental, or special damages.
Our aggregate liability under an engagement is capped at fees paid in the twelve (12) months preceding the claim, except for gross negligence, willful misconduct, or bodily injury.

Governing law & disputes

These terms are governed by the laws of the State of Washington, excluding conflict of laws rules.
Disputes will be resolved through good faith negotiation, followed by mediation, and if necessary, binding arbitration in King County, Washington.

Updates

We may update these Terms of Use from time to time. Material changes will be posted on this page with a revised effective date.
